Terms and Conditions

Česká verze: Všeobecné obchodní podmínky

Part A — General terms (goods and services)

Effective from 26 October 2026

1. Seller and scope

1.1 These General Terms and Conditions ("Terms") govern every contract between AIR TEAM service, s.r.o., Masarykovo náměstí 354, 664 71 Veverská Bítýška, Czech Republic, Company ID 02489643, VAT ID CZ02489643, registered in the Commercial Register kept by the Regional Court in Brno, Section C, File 81499 (the "Seller" or "Supplier"), and its customer (the "Buyer" or "Customer") for the sale of goods and for maintenance, repair, overhaul, modification, installation, testing and related services, concluded (a) through the online shop at shop-service.airteam.eu or the website service.airteam.eu (the "Shop"), or (b) on the basis of a written quote, repair or evaluation offer, order confirmation, work order or pro-forma invoice of the Seller referring to these Terms.

1.2 Contact: e-mail airteam@airteam.eu, telephone +420 725 508 058, the chat on the Shop and the contact form. Customer service hours are Monday to Friday, 8:00–16:30 CET/CEST.

1.3 The Seller sells only on these Terms. Terms of the Buyer do not apply, even if the Seller does not object to them. A deviation from these Terms is valid only if the Seller confirms it in writing.

1.4 The Seller performs services under its approvals EASA Part-145 CZ.145.0094, Part 21G CZ.21G.0075, FAA Repair Station 5R2Y718D and Military Part-145 CZE.145.1004. The scope of each service is stated on its product page, quote or work order; installation, inspection, certification or release to service is included only where expressly stated in that scope. Provisions on goods apply where goods are supplied. Part B (Conditions for Work on Aircraft and Aircraft Components) applies to work on aircraft and components and prevails over these general clauses where they differ.

1.5 A framework agreement, an individual written contract or a contract awarded in public procurement prevails over these Terms where it deals with the same matter; these Terms apply to everything it does not regulate.

2. Definitions

2.1 A Consumer is a natural person who buys outside their trade, business or profession.

2.2 A Business Buyer is any Buyer who is not a Consumer. A Buyer who enters a company ID or VAT ID, buys through a company account or orders for an organisation declares that it buys within its business. The Seller relies on this declaration, and the Buyer bears the consequences if it is incorrect.

2.3 A Third-Country Buyer is a Buyer whose delivery address is outside the European Union and the European Economic Area.

2.4 Where these Terms give a right only to Consumers, a Business Buyer does not have that right. Provisions marked "Business Buyers" apply only to Business Buyers and contain limitations of their rights; by sending an order, the Business Buyer expressly accepts them.

3. Language and versions

3.1 The contract is concluded in the language of the Shop version used for the order. Where a Consumer uses a language version, that version governs the Consumer's contract. For a Business Buyer, the English version prevails.

3.2 The Seller archives the concluded contract electronically. The Buyer receives these Terms with the confirmation of the contract by e-mail and can store and print them.

4. Conclusion of the contract

4.1 The presentation of goods on the Shop is not an offer. The Seller is not obliged to conclude a contract. Section 1732(2) of the Czech Civil Code does not apply.

4.2 The order sent through the checkout is the Buyer's offer. Before sending it, the Buyer can check and correct all entered data.

4.3 The Seller confirms receipt of the order by e-mail. This confirmation is not an acceptance. The contract is concluded only when the Seller accepts the order by e-mail or dispatches the goods, whichever comes first. The Seller confirms the concluded contract, with these Terms, by e-mail without undue delay and at the latest on delivery. If the Seller does not accept an order, it refunds any payment without undue delay.

4.4 The Seller may refuse an order without giving reasons. The Seller may in particular ask for additional confirmation of an order above CZK 100,000 including VAT, refuse a Buyer who is in default or breached an earlier contract, and refuse an order that fails export or sanctions screening.

4.5 Request for quote. Goods marked as quote-only cannot be bought through the cart. The contract for them is concluded only when the Buyer accepts the Seller's written quote.

4.6 Install-only units. Some units, in particular certain Garmin units, are sold only with installation by an authorised dealer. These units are not sold as goods only. Installation is offered under a separate service contract.

4.7 Goods not in stock and pre-orders. For goods not in stock, the price and delivery date shown are estimates, and the Seller accepts the order only after the supplier confirms the price and availability. If they differ, the Seller sends a new offer, which the Buyer may accept or decline free of charge. If, after acceptance, the supplier finally fails to deliver for reasons beyond the Seller's control, the Seller may withdraw from the contract, informs the Buyer without undue delay and refunds all payments within 14 days.

5. Prices and payment

5.1 Prices for Consumers are shown including the VAT of the delivery country. Prices for Business Buyers may also be shown excluding VAT. The price payable, including VAT where it applies, shipping and any core deposit, is the amount shown at the end of the checkout before the order is sent.

5.2 Obvious price error. If the price shown is obviously wrong, in particular because of a technical or typing error, and the Buyer knew or must have known this given the usual price of the goods, no contract is concluded at that price. If the order has already been accepted, the Seller may withdraw within 14 days of acceptance and refunds all payments within 14 days of withdrawal.

5.3 Discount codes cannot be combined unless the promotion says so.

5.4 Payment methods, where offered at checkout or separately agreed:

  • card, Shop Pay, Apple Pay or Google Pay through Shopify Payments;
  • bank transfer in advance; goods are dispatched after the amount is credited to the Seller's account;
  • cash on delivery, for delivery in the Czech Republic up to CZK 50,000;
  • invoice, only for approved Business Buyers under a separate credit arrangement.

5.5 The Seller may require full payment before dispatch for any order.

5.6 Ownership of the goods passes to the Buyer only upon full payment of the price.

5.7 VAT. A supply to a Business Buyer registered for VAT in another EU member state is exempt from Czech VAT if the goods are dispatched to another member state and the VAT ID is valid in the VIES system. Goods delivered outside the EU are invoiced without VAT. Unless the checkout shows these charges, the Buyer pays import duties, import VAT, customs clearance fees and any other charges in the destination country.

6. Delivery

6.1 The Seller ships from the Czech Republic. The carriers and shipping prices offered depend on the destination and the content of the cart and are shown at checkout. Dangerous goods, oversized items and certain destinations may be shipped only on the basis of an individual quote.

6.2 Delivery and dispatch dates are estimates unless the Seller confirms a fixed date in writing. Where no delivery date is agreed with a Consumer, the goods are delivered within 30 days of the conclusion of the contract, and the Consumer's statutory rights in case of late delivery are not affected. The Seller may deliver in parts and charges shipping only once per order unless agreed otherwise.

6.3 Risk. For a Consumer, the risk of loss or damage passes when the Consumer or a person designated by the Consumer receives the goods. For a Business Buyer, the risk passes when the Seller hands the goods to the first carrier.

6.4 The Buyer checks the parcel on delivery. Visible damage to the parcel is recorded with the carrier. Business Buyers: hidden transport damage must be reported to the Seller within 2 business days of delivery; otherwise, claims for transport damage are excluded. A Consumer should report hidden transport damage as soon as possible; the Consumer's statutory rights are not affected.

6.5 If delivery fails for reasons on the Buyer's side, such as a wrong address or a refused parcel, the Buyer pays the costs of return and of any new dispatch.

7. Aviation goods

7.1 Airworthiness and installation. The Buyer is responsible for confirming that the goods are eligible and compatible with the aircraft, type certificate, STC and configuration concerned, and that the installation is performed and released to service by an organisation or person approved for that work. Information on the Shop, in manuals and in drawings is general and does not confirm suitability for a particular aircraft or purpose. A suitability statement binds the Seller only if the Seller gives it in writing for the specific aircraft.

7.2 Documentation. Every shipment includes the Seller's certificate of conformity. An FAA Form 8130-3, EASA Form 1 or other release document is supplied only where the product page states it or where it is ordered and paid for. The absence of a document that was not ordered is not a defect.

7.3 Condition. The condition stated on the product page (New, Serviceable, Overhauled, Exchange or Repair programme) is part of the agreed description. A used, serviceable, overhauled or exchange unit is not defective because it shows wear consistent with its stated condition.

7.4 Exchange units and cores.

7.4.1 In an exchange, the Buyer receives a serviceable unit from the Seller's stock (the "Exchange Unit") and gives the Seller its own unit of the same type (the "Core"), whether the Exchange Unit is shipped in advance against a core deposit or after the Seller receives the Core. The exchange price assumes that the Core can be restored to serviceable condition by standard repair. The product page or quote states the exchange price, the price of the same unit without exchange (the "Outright Price"), any core deposit and any evaluation fee.

7.4.2 A Core is eligible only if (a) it has the same part number and modification status as the Exchange Unit, or one the product page or quote states as interchangeable; (b) it is complete, including its data plate and a legible serial number, and for headsets the headband, ear cups, cable and control module; (c) it is not beyond economical repair under clause 7.4.3; (d) it has not been damaged by accident, impact, crushing, fire, overheating, lightning, liquid ingress or corrosion, or by use contrary to the manufacturer's instructions; (e) it has not been opened, repaired or modified by a person not authorised by the manufacturer or the Seller; (f) it is free of third-party rights and not stolen; and (g) it comes with the documents stated on the product page or quote. Wear from normal use does not make a Core ineligible.

7.4.3 A unit is beyond economical repair (BER) if repair is technically impossible or not permitted by the manufacturer's data, if the required parts are no longer available, or if the cost of restoring it to serviceable condition at the Seller's standard rates for parts and labour exceeds 70 % of the Outright Price or of the Seller's price of a serviceable unit of the same type.

7.4.4 The Buyer sends the Core within 30 days of receiving the Exchange Unit, or within the period stated on the product page or quote. Where the Exchange Unit is shipped only after the Core arrives, the Buyer sends the Core within 30 days of the conclusion of the contract.

7.4.5 The Seller inspects the Core within 10 business days of receiving it. If the Core is not eligible, the Seller informs the Buyer in text form, with the reason, a short findings report with photographs, the amounts under clause 7.4.6 and the options available.

7.4.6 Within 14 days of that notice, the Buyer chooses: (a) keep the exchange: the Buyer pays the difference between the Outright Price and the exchange price; a core deposit already paid is set off against this difference, any excess is refunded and any shortfall invoiced; the Core is returned at the Buyer's cost or, on the Buyer's instruction, scrapped free of charge; (b) repair of the Buyer's own unit: if the Core can be repaired at a higher cost than standard repair, the Seller sends a repair quote; an Exchange Unit already delivered is returned at the Buyer's cost; or (c) cancel the exchange: where the Exchange Unit has not yet been shipped, or the Buyer returns it unused and in the condition received, the Seller refunds the exchange price less the evaluation fee and returns the Core at the Buyer's cost.

7.4.7 If a Business Buyer does not choose in time, option (a) applies. If a Consumer does not choose within 30 days of the notice, option (c) applies. Where an Exchange Unit was shipped in advance and is not returned, the Seller retains the core deposit paid at checkout in settlement; no further amount is charged to the Consumer.

7.4.8 If the Core is not sent in time, the Seller may, after a reminder with an additional period of at least 14 days, retain the core deposit or, for a Business Buyer who paid no deposit, invoice the difference under clause 7.4.6(a).

7.4.9 Ownership of the Core passes to the Seller when the Seller confirms that it is eligible. Until then, the Buyer bears the risk of the Core in transit to the Seller.

7.5 Dangerous goods. Lithium batteries, emergency locator transmitters and other dangerous goods are shipped under the applicable dangerous-goods rules. The Buyer returns such goods only after the Seller's instruction and with the required documentation.

7.6 Export control and sanctions. The Buyer complies with all export-control and sanctions laws applicable to the goods, including Regulation (EU) 2021/821, EU sanctions regulations and, for goods of US origin, the US Export Administration Regulations and ITAR. Availability on the Shop is not an export licence. The Seller may refuse, suspend or cancel an order if screening requires it. The Buyer provides end-use and end-user information on request. The Buyer confirms that it is not, and is not owned or controlled by, a person subject to EU, UN, UK or US sanctions.

7.7 No re-export to Russia or Belarus. The Buyer shall not sell, supply, transfer or export, directly or indirectly, to the Russian Federation or Belarus or for use there any goods supplied under or in connection with this contract, including goods falling under Article 12g of Council Regulation (EU) No 833/2014 or Article 8g of Council Regulation (EC) No 765/2006, and shall impose the same obligation on any further buyer. A breach is a material breach of contract, and the Seller may withdraw from the contract. A Business Buyer in breach pays a contractual penalty equal to the price of the goods concerned, without prejudice to damages. The Buyer informs the Seller without delay of any attempt by a third party to circumvent this clause.

7.8 Flat-rate repairs.

7.8.1 A repair sold at a flat rate (the "Flat Rate") covers only the standard repair described on the product page or in the quote (the "Standard Repair"): evaluation and testing, the labour and the parts included as stated there (for example a number of hours and a parts allowance), the release document stated there and return shipping where stated.

7.8.2 Outside the Flat Rate are in particular parts and labour above what is included, the repair of damage caused by impact, liquid, fire, corrosion, overvoltage or a previous repair by a person not authorised by the manufacturer or the Seller, missing parts and accessories, and modifications or upgrades.

7.8.3 If the evaluation shows that the unit needs work or parts outside the Flat Rate (an "Excess Repair") or that it is beyond economical repair under clause 7.4.3, the Seller stops the work and within 5 business days of the evaluation informs the Buyer in text form of the findings, with photographs, the price of the Excess Repair and the options under clause 7.8.4. The Seller does not perform an Excess Repair without the Buyer's approval and does not bear the cost of parts or labour outside the Flat Rate.

7.8.4 Within 14 days of that notice, the Buyer chooses: (a) Excess Repair: the Buyer pays its price in addition to the Flat Rate and the Seller completes the repair (for a BER unit only at the Buyer's express request); (b) replacement unit: where the Seller offers a serviceable or exchange unit, the Buyer buys it and the Flat Rate paid, less the evaluation fee, is credited against its price; or (c) return without repair: the Seller returns the unit unrepaired and the Buyer pays the evaluation fee and the return shipping; a Flat Rate already paid is refunded less these amounts. At the Buyer's request, the Seller disposes of a BER unit free of charge instead of returning it.

7.8.5 Evaluation fee. Unless the product page or quote states a fixed amount, the evaluation fee is charged for the time actually spent at EUR 90 per hour of labour, excluding VAT. For a Consumer it never exceeds the Flat Rate.

7.8.6 No choice made. If the Buyer does not choose within 30 days of the notice, option (c) applies. The Seller may retain the unit until the evaluation fee and the return shipping are paid (Section 1395 of the Czech Civil Code). If the unit is not collected or paid for within 6 months of the notice despite a reminder with an additional period of at least 30 days, the Seller may sell or dispose of it under Section 2126 of the Czech Civil Code and set off the proceeds.

7.8.7 Parts outside the Flat Rate are never approved by silence.

8. Right of withdrawal for Consumers

8.1 Who has the right. A Consumer may withdraw from the contract within 14 days without giving any reason. A Business Buyer has no right of withdrawal. The Seller does not accept returns of goods without a defect outside the statutory right of withdrawal. Any exception requires an individual written agreement and creates no claim for future orders.

8.2 Withdrawal period. The period ends 14 days after the day on which the Consumer, or a third party other than the carrier designated by the Consumer, acquires physical possession of the goods. For an order of several goods delivered separately, it ends 14 days after the last item is received.

8.3 How to withdraw. The Consumer informs the Seller of the decision to withdraw by an unequivocal statement, by e-mail to airteam@airteam.eu or by post to the registered office. The model withdrawal form may be used but is not obligatory. The period is met if the statement is sent before it expires. The Seller acknowledges receipt of a withdrawal sent online or by e-mail without undue delay by e-mail, stating its content and the date and time it was sent.

8.4 Effects of withdrawal. The Seller refunds all payments received from the Consumer, including the costs of delivery (except supplementary costs resulting from a delivery type other than the least expensive standard delivery offered), without undue delay and in any event within 14 days of the day the Seller is informed of the withdrawal. The Seller uses the same means of payment as the Consumer used, unless expressly agreed otherwise; the Consumer incurs no fees as a result. The Seller may withhold the refund until it has received the goods back or the Consumer has supplied evidence of having sent them back, whichever is earlier.

8.5 Return of goods. The Consumer sends the goods back without undue delay and in any event within 14 days of withdrawal to the address the Seller provides. The Consumer bears the direct cost of returning the goods. For goods that cannot be returned by normal post, such as dangerous goods or bulky items, the cost is estimated at up to EUR 150. The Consumer is liable for any diminished value of the goods resulting from handling other than what is necessary to establish their nature, characteristics and functioning. Installing the goods in an aircraft or other equipment, programming them, or removing seals, tamper labels or release documentation goes beyond that handling. If the goods can then no longer be sold as new or with their original release documentation, the diminished value may reach the full price.

8.6 Exceptions. The right of withdrawal does not apply to:

  • goods made to the Consumer's specifications or clearly personalised, including units programmed for the Consumer (for example an emergency locator transmitter coded to an aircraft), cut-to-length hoses and cables, and engraved items;
  • sealed goods that are not suitable for return for health protection or hygiene reasons, such as headset ear seals and oxygen masks, once unsealed after delivery;
  • sealed audio or video recordings or computer software, including navigation databases and software licences, once unsealed after delivery;
  • digital content not supplied on a tangible medium, once performance has begun with the Consumer's prior express consent and acknowledgement that the right is lost;
  • goods that, after delivery, are by their nature inseparably mixed with other items;
  • services fully performed with the Consumer's prior express consent and acknowledgement that the right of withdrawal is lost once the contract is fully performed.

8.7 If a Consumer withdraws from a contract for an exchange unit and returns the unit under clause 8.5, the Seller refunds the core deposit with the price, and no core is due. Otherwise the core deposit follows clause 7.4.

9. Defects

Consumers

9.1 The Seller is liable to the Consumer for defects under the statutory rules on lack of conformity. The Consumer may claim a defect that appears within 24 months of receipt. For goods sold as used, serviceable, overhauled or exchange, the Consumer and the Seller agree a period of 12 months; the condition is stated on the product page and accepted with the order. A defect that appears within one year of receipt is presumed to have existed on receipt. Where the mandatory law of the Consumer's country of habitual residence grants more, that law applies.

9.2 The Seller is not liable for wear consistent with the stated condition or with use, for a defect for which the price was reduced, or for a defect caused by improper installation, use or maintenance, including installation by a person not approved for the work.

9.3 The Consumer reports a defect by e-mail to airteam@airteam.eu with the order number and a description, ideally with photographs, and returns the goods after the Seller's instruction. The Seller confirms the claim in text form, stating its date, content and the remedy requested, and settles it within 30 days of the claim unless a longer period is agreed with the Consumer after the claim is made. If the claim is justified, the Seller pays the necessary costs of return.

Business Buyers

9.4 Business Buyers. The Seller acts as a distributor and gives no warranty of quality of its own. A Business Buyer has only the rights under the manufacturer's warranty, which the Seller passes on, and the remedies in clause 9.6. Sections 1914 to 1925 and 2099 to 2117 of the Czech Civil Code and any other statutory liability for defects are excluded to the extent permitted by law.

9.5 Business Buyers. The Business Buyer inspects the goods without delay on delivery. A visible defect, a wrong item or a shortage must be reported within 3 business days of delivery, and a hidden defect within 14 days of its discovery but no later than 12 months after delivery, unless the manufacturer's warranty provides a longer period for claims under that warranty. A defect not reported in time cannot be claimed.

9.6 Business Buyers. For a justified claim, the Seller may at its choice repair the goods, replace them or refund the price against return of the goods. The Business Buyer has no other claims arising from the defect. The Business Buyer bears the costs of transport to the Seller or the manufacturer and the costs of removal and reinstallation. If the claim is not justified, the Seller may charge the costs of testing and return shipping.

9.7 Business Buyers. Other claims of a Business Buyer under the contract become time-barred one year after delivery.

10. Liability

10.1 Nothing in these Terms limits liability for damage caused intentionally or by gross negligence, for harm to a person's natural rights, including life and health, or any liability that cannot be limited under the law applicable to a Consumer.

10.2 Business Buyers. Subject to clause 10.1, the Seller's total liability under or in connection with a contract is limited to the price of the goods concerned. The Seller is not liable for lost profit, loss of use, aircraft-on-ground costs, downtime, removal or installation costs, costs of replacement aircraft, claims of third parties or any indirect or consequential damage.

10.3 Business Buyers. The Seller is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, sanctions, export restrictions, strikes, failures of suppliers or carriers and acts of authorities. In such a case, the Seller's obligations are suspended for the duration of the event. If the event lasts more than 60 days, either party may withdraw from the unperformed part of the contract.

11. Business Buyers: further terms

11.1 Cancellation. A Business Buyer may cancel or change an accepted order only with the Seller's written consent, which the Seller may make conditional on a cancellation fee of 30% of the price of the goods concerned. Goods ordered from a supplier for the Buyer, programmed or adapted goods and goods marked as non-cancellable cannot be cancelled. If the Business Buyer fails to take over the goods within 10 days of notice, it pays a contractual penalty of 30% of the price of the goods concerned and the storage costs, and the Seller may sell the goods under Section 2126 of the Czech Civil Code. Damages exceeding the fee or the penalty are not affected.

11.2 Credit. The Seller may grant a credit limit by separate agreement and may change, suspend or cancel it at any time. If the Business Buyer is in default, all amounts owed become due immediately and the Seller may suspend deliveries. Late payments bear statutory default interest.

11.3 The Business Buyer may not set off its claims against the Seller's claims and may not assign claims under the contract without the Seller's written consent.

11.4 The Business Buyer takes over the risk of a change of circumstances under Section 1765(2) of the Czech Civil Code; Sections 1764 to 1766 do not apply in its favour.

11.5 Programme prices and discounts (Crew, First Officer, Captain, affiliate codes) are granted at the Seller's discretion and can be changed or ended at any time with effect for future orders. They create no claim for the future.

11.6 Exchange units. Clause 7.4 applies; in addition, the Business Buyer pays the Seller's costs of inspecting a Core that is not eligible, at EUR 90 per hour, and the costs of shipping it back.

11.7 Indemnity. The Business Buyer indemnifies the Seller against third-party claims arising from the installation, release to service, use, resale or export of the goods by or for the Business Buyer, except where caused by the Seller's intent or gross negligence.

11.8 Shelf-life items are supplied with the remaining shelf life stated in their documentation; expiry after delivery is not a defect. Software and navigation databases are licensed under the manufacturer's terms, to which the Seller is not a party.

12. Third-Country Buyers

12.1 A Third-Country Buyer who is a Business Buyer has rights in case of defects only under clauses 9.4 to 9.7. A Third-Country Buyer who is a Consumer has the rights under clauses 8 and 9 and any rights that cannot be excluded under the law of their country of habitual residence.

12.2 DISCLAIMER OF IMPLIED WARRANTIES. TO THE FULLEST EXTENT PERMITTED BY LAW, GOODS ARE SOLD TO THIRD-COUNTRY BUSINESS BUYERS "AS IS", AND THE SELLER DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE MANUFACTURER'S WARRANTY IS GIVEN BY THE MANUFACTURER, NOT BY THE SELLER. NOTHING EXCLUDES RIGHTS THAT CANNOT BE EXCLUDED BY LAW, INCLUDING UNDER THE AUSTRALIAN CONSUMER LAW; FOR GOODS NOT ORDINARILY ACQUIRED FOR PERSONAL USE, LIABILITY FOR A CONSUMER GUARANTEE IS LIMITED, AT THE SELLER'S OPTION, TO REPAIR, REPLACEMENT OR THE COST OF EITHER.

12.3 The Third-Country Buyer acts as importer of record and is responsible for import permits, duties and taxes, unless the checkout shows these charges.

13. Reviews

13.1 Where product reviews are displayed, the Shop explains whether and how a purchase is verified. The Seller does not pay for reviews.

14. Complaints and dispute resolution

14.1 Complaints are handled at airteam@airteam.eu.

14.2 A Consumer may submit a dispute to the Czech Trade Inspection Authority (Česká obchodní inspekce, adr.coi.cz), which is the competent body for out-of-court resolution of consumer disputes with the Seller. A Consumer from another EU member state may contact the European Consumer Centre of their country. The Seller is not obliged to take part in any other out-of-court dispute-resolution procedure.

14.3 Supervisory authorities: the Czech Trade Inspection Authority for consumer protection, the Office for Personal Data Protection for personal data, and the Municipal Office of Kuřim, Trade Licensing Department, for the trade licence.

15. Personal data

15.1 The Seller processes personal data according to the Privacy Policy published on the Shop.

16. Final provisions

16.1 The contract and these Terms are governed by Czech law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For a Consumer, the choice of law does not deprive the Consumer of the protection of mandatory provisions of the law of the country of habitual residence.

16.2 Business Buyers. Disputes are decided exclusively by the court having jurisdiction for the Seller's registered office, namely the District Court for Brno-venkov or, where the regional court has first-instance jurisdiction, the Regional Court in Brno. A Consumer may also bring proceedings in the courts of their country of habitual residence.

16.3 The Seller may amend these Terms. The version in force when the order is sent applies to that order.

16.4 If any provision is invalid, the other provisions remain in force, and in relations with Business Buyers the invalid provision is replaced by a valid one with the closest meaning. This replacement does not apply against Consumers.

16.5 The Seller is not bound by any code of conduct.

16.6 These Terms take effect on 26 October 2026.

Additional information for Consumers in the United Kingdom

UK Consumers have the right to cancel described in clause 8 under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the statutory rights under the Consumer Rights Act 2015. Nothing in these Terms affects those statutory rights.

Part B — Conditions for Work on Aircraft and Aircraft Components

B1 Scope

B1.1 These Conditions govern every contract for work on aircraft, engines, propellers and their components, and related services. This includes maintenance, repair, overhaul, modification, installation, testing, troubleshooting and the issue of release documents (the "Work"). The parties are AIR TEAM service, s.r.o. (the "Supplier") and its customer (the "Customer"). Part A applies where Part B does not provide otherwise, in particular for goods sold without Work.

B1.2 The Supplier performs the Work under its approvals:

  • EASA Part-145 CZ.145.0094;
  • Part 21G CZ.21G.0075;
  • FAA Repair Station 5R2Y718D;
  • Military Part-145 CZE.145.1004.

The Supplier may use approved subcontractors and may move the aircraft or component where the Work requires it.

B1.3 Deviations from these Conditions bind the Supplier only if agreed in writing. Statements by employees that are not confirmed in writing do not bind the Supplier.

B2 Offer, order and contract

B2.1 An offer is valid for 15 days from its date of issue, unless it states otherwise. Prices are in the currency of the offer and exclude VAT. VAT is added at the rate applicable on the date of the taxable supply.

B2.2 The contract is concluded when one of the following happens:

  • the Customer signs the offer or the contract note;
  • the Customer confirms the offer by e-mail or by purchase order;
  • the Customer pays the reservation fee or the pro-forma invoice; or
  • the Customer delivers the aircraft or component for the Work referred to in the offer.

The first of these concludes the contract. An acceptance with additions or deviations is not an acceptance. Section 1751(2) of the Civil Code does not apply.

B2.3 The offer or contract note states the scope of the Work, the price or the basis of the price, and the estimated completion date. On delivery of the aircraft, the parties sign an acceptance report recording its condition, documents and equipment. The Customer may waive attendance at the acceptance inspection.

B2.4 Written form includes:

  • e-mail sent between the addresses stated in the order and the Supplier's corporate addresses;
  • an order placed through the Supplier's online shop; and
  • a message or approval in the Project Space under B2.6.

B2.6 Communication through the Project Space. For each order, the Supplier may set up a shared project space in ClickUp, or in another tool the Supplier designates (the "Project Space"). It invites the Customer's contact persons to it.

(a) The Supplier uses the Project Space for operational communication: findings, photographs, notices of additional work, approvals, status reports and completion notices.

(b) A message or approval posted in the Project Space by a person invited by the Customer has the effect of a written statement by the Customer. The Customer names its authorised persons in the order and informs the Supplier of any change without delay. Until it does, the Supplier may rely on statements made by persons invited by the Customer.

(c) A notice posted by the Supplier in the Project Space is delivered when it is posted, provided that the platform sends an e-mail notification to the Customer's contact person. Otherwise, it is delivered on the next business day.

(d) The Supplier may deliver the offer, invoices, release documents (CRS, EASA Form 1, FAA Form 8130-3) and other documents by e-mail or through the Project Space. A document uploaded to the Project Space is delivered under (c). The Supplier keeps the communication and documents in the Project Space for the period under B7.2, and exports them on request.

(e) If the Project Space is not available, the parties communicate by e-mail. Deadlines are not extended because of this.

B2.5 STC and approved data. Unless the offer states otherwise, the Supplier has not verified the availability of STCs, AML STCs or minor change approvals for the specific aircraft. If they are not available free of charge from the equipment manufacturer, the Supplier informs the Customer of the cost or of an alternative solution. The Customer may then accept it or withdraw from the affected part of the contract free of charge.

B3 Price

B3.1 The price is determined by the offer, at the prices valid on the date the Customer confirms the order. Flat-rate prices stated as such are fixed for the defined scope. Additional work is charged at the hourly rates stated in the offer, together with consumables, materials and shipping as stated in the offer.

B3.2 Parts not in stock. If the supplier price of a part or the exchange rate changes by more than 5 % between the order and the purchase of the part, the Supplier informs the Customer of the new price. The Customer may accept it or cancel the affected item free of charge. Without the Customer's consent, the price does not increase.

B3.3 The offer price assumes that the aircraft has been maintained under a standard maintenance programme and is in the configuration stated by the Customer. The price does not include:

  • airport and handling charges;
  • fuel, refuelling and defuelling;
  • test-flight costs; and
  • work caused by defects found during the Work, which follows B4.

B3.4 Customer-supplied parts. For parts supplied by the Customer, the Supplier charges a handling fee of 20 % of the market price of the part, minimum EUR 100 per part. The Customer supplies them with the release documents required for installation. The Supplier gives no warranty for parts supplied by the Customer. A part without valid documents is not installed.

B3.5 Cost budget. If the Customer requires a binding price, the Supplier prepares a cost budget listing the work and parts. The Supplier is bound by it for 2 weeks from its issue.

B4 Additional work and defects found during the Work

B4.1 Additional Work is work, parts and materials beyond the agreed scope. It includes in particular work to rectify defects found during the Work, and work needed to complete the ordered Work, to pass the required inspections, or to issue the release documents.

B4.2 Pre-approved additional labour. By placing the order, the Customer approves in advance the labour for Additional Work, up to the Labour Pre-approval Limit. This covers troubleshooting, removal, installation, adjustment, tests and the related paperwork. The Labour Pre-approval Limit is the amount stated in the offer or, if the offer states none, 20 % of the offer price excluding VAT. Within the Labour Pre-approval Limit:

(a) the Supplier performs the labour without asking for further approval;

(b) the Supplier records each item in the Project Space or by e-mail, with a description, photographs where useful, and the hours used. This record is for information only and needs no reply;

(c) the labour is charged in the final invoice at the hourly rates stated in the offer, together with the consumables surcharge stated in the offer; and

(d) the Customer may lower the Labour Pre-approval Limit, or set it to zero, in the order or by a notice in the Project Space. The change applies to work not yet performed.

B4.3 Parts and units always need approval. Replacement units, parts and materials for Additional Work are not covered by the Labour Pre-approval Limit. Exceptions are consumables and standard hardware covered by the consumables surcharge. The Supplier offers them to the Customer in the Project Space or by e-mail, with the price. Without the Customer's approval, the Supplier does not install them. If the Customer does not approve a replacement part for a defective unit:

(a) the Supplier may remove the defective unit or leave it in place, as the applicable rules require;

(b) the labour already performed is charged under B4.2 and is not refunded; and

(c) B4.8 applies to airworthiness.

*Example: the Supplier finds a defective tachometer. The troubleshooting, removal and installation labour falls within the Labour Pre-approval Limit. The new tachometer needs the Customer's approval. If the Customer declines, the defective tachometer is removed or left in place, the labour is charged, and the aircraft is returned without a certificate of release to service for that item.*

B4.4 Labour above the limit. For labour that would exceed the Labour Pre-approval Limit, the Supplier asks for approval in the Project Space or by e-mail, stating the description, photographs and price. Until approval is given, the Supplier may suspend the affected work, and the completion date is extended accordingly.

Business customers: if the Customer does not reply within 3 business days of the request, the Customer is deemed to approve the labour stated in the request, up to a further 10 % of the offer price excluding VAT, provided that the labour is necessary for airworthiness or for completing the ordered Work. The request states this consequence expressly. The offer states this rule expressly next to the Labour Pre-approval Limit. Parts under B4.3 are never approved by silence.

B4.5 If the total price, including Additional Work, would exceed the offer by more than 30 %, the Supplier issues a new offer, and B4.2 to B4.4 do not apply to the excess.

B4.6 Emergency measures. The Supplier may always take measures needed to prevent damage to the aircraft or component, or a safety risk, without prior approval. It informs the Customer without undue delay. The reasonable costs are charged in the final invoice.

B4.7 Consumers.

(a) In the order, a Consumer states the amount up to which they approve Additional Work in advance. The amount covers labour and parts together and may be zero. Additional Work within that amount follows B4.2(b) and (c).

(b) Additional Work above that amount is performed only with the Consumer's express approval. Silence is never approval (B4.4 does not apply).

(c) B4.3(b) applies to a Consumer only within the amount stated in the order.

(d) The Consumer's right under Section 2622 of the Civil Code to withdraw if the estimated price must be substantially exceeded is not affected.

B4.8 Airworthiness. The Supplier does not certify the aircraft or a component as serviceable if a defect affecting airworthiness has been found and has not been rectified or deferred under the applicable rules. If the Customer does not approve the necessary work, the Supplier:

  • records the defect in the aircraft documents;
  • informs the Customer and the organisation responsible for continuing airworthiness; and
  • returns the aircraft or component without a certificate of release to service for the affected item.

B4.9 Components — evaluation. Flat-rate repairs follow clause 7.8: parts outside the flat rate always require the Customer's approval, and the Supplier never pays for them on the Customer's behalf. Where the fault of a component is not known, the Supplier first evaluates it for the evaluation fee stated in the offer. The evaluation fee is payable even if the Customer then declines the repair, or if the component is found beyond economical repair (BER). In those cases the component is returned as-is and only the evaluation fee and shipping are charged. If the Customer accepts the repair, the evaluation fee already paid is deducted from the repair price. If the Customer does not decide on a repair offer within 30 days, the Supplier may charge the evaluation fee and return the component unrepaired at the Customer's cost.

B5 Completion date

B5.1 The completion date stated in the offer is an estimate. It depends on the availability of parts and does not include additional work. The Supplier uses reasonable efforts to meet it. Business customers: the Supplier is not liable for damage caused by a delay, except where the delay is caused intentionally or by gross negligence.

B5.2 Reservation fee. The Supplier reserves a slot for the Work after receiving a reservation fee of EUR 1,000 excluding VAT, or the equivalent in the offer currency. The fee is credited against the final invoice. If the Customer cancels the order or does not deliver the aircraft at the agreed time, the Supplier keeps the fee as a cancellation fee. Its right to further compensation under B11 is not affected. If the Supplier cancels the slot, the fee is refunded in full.

B5.3 AOG and expedite services are provided only where ordered, for the fee in the offer or price list.

B6 Delivery and collection of the aircraft or component

B6.1 The aircraft or component is handed over and collected at the Supplier's premises, unless agreed otherwise. Transport to another place is at the Customer's cost and risk.

B6.2 No later than on delivery, the Customer provides complete technical documentation:

  • the logbooks and the airworthiness review certificate;
  • the weight and balance report;
  • the STCs and modifications applied;
  • the wiring diagrams; and
  • other documents relating to the configuration of the aircraft.

The Customer is responsible for the accuracy of this documentation.

B6.3 The Customer collects the aircraft or component within 1 week of the notice of completion. For work completed within one working day, the period is 2 days. After that, the Customer is in default of acceptance and pays storage at the Supplier's usual rates; for aircraft, the usual hangar or parking rate. If the Customer does not collect the item within 6 months of the notice, despite a reminder giving an additional period of at least 30 days, the Supplier may sell it under Section 2126 of the Civil Code.

B6.4 Insurance. While the aircraft is with the Supplier, the Customer keeps the hull insurance and third-party liability insurance of the aircraft in force. On request, the Customer provides a certificate of that insurance. The Supplier maintains liability insurance for its maintenance activities.

B6.5 Ground runs and test flights are performed only where the Work requires them. If the Customer or a pilot appointed by the Customer flies the aircraft, the risk of damage and liability for damage during the flight pass to the Customer.

B7 Release documents

B7.1 On completion, the Supplier issues the release documents required by its approvals and stated in the offer:

  • a certificate of release to service (CRS) for the aircraft; or
  • an EASA Form 1, or an FAA Form 8130-3 where applicable, for a component. One form is issued per unit and serial number.

B7.2 The Supplier keeps the records of the Work for the period required by the aviation rules.

B8 Payment

B8.1 Unless the offer states another payment schedule:

  • Installations: the Customer pays 100 % of the price of the installed equipment in advance. Labour, materials, consumables, design work and the CRS are paid on completion.
  • Component repairs: the Customer pays the pro-forma invoice on order, and the Work starts after payment.
  • Approved accounts and public contracts: the Customer is invoiced without an advance, with the due date stated on the invoice.

B8.2 The final payment must be credited to the Supplier's account before the aircraft or component is handed over. Other invoices are payable within 14 days of issue.

B8.3 In case of late payment, the Customer pays interest of 0.05 % of the overdue amount for each day of delay. Statutory default interest applies to a Consumer instead.

B8.4 Retention. The Supplier may retain the aircraft, component and related documents until all its claims arising from the Work, and from earlier work, parts and services related to the same aircraft or component, are paid (Section 1395 of the Civil Code). The Supplier notifies the Customer in writing without undue delay that it is retaining them and why. The right of retention ends when the claim is paid, or when the Supplier accepts other security.

B8.5 Reservation of ownership. Parts and accessories supplied with the Work remain the property of the Supplier until the price is paid in full.

B9 Exchange units

B9.1 For Work involving exchange units, clause 7.4 applies. It covers the requirements for the removed unit, BER, inspection, amounts and the Customer's options.

B10 Warranty

B10.1 The Supplier provides a warranty for the quality of its Work from the release to service:

Work Warranty
Repair of a component, including the parts replaced 3 months
Annual maintenance of components 12 months for the quality of the work
Installation and modification work on an aircraft 12 months for the workmanship
Test or inspection only correctness of the test and of the parameters at the time of the test
New equipment the manufacturer's warranty, passed on by the Supplier

B10.2 An extended warranty may be agreed for the price stated in the offer.

B10.3 The warranty does not cover:

  • normal wear;
  • damage caused by accident or improper operation;
  • maintenance or repair by a third party;
  • operation outside the manufacturer's limits; or
  • parts supplied by the Customer.

B10.4 The Customer reports a defect in writing without undue delay after its discovery, with the order number and a specification of the defect. The Supplier rectifies a justified defect by repair or replacement, at its choice. Business customers: the Customer bears the costs of transporting the aircraft or component to the Supplier, and the costs of removal and reinstallation. The Customer has no other claims arising from the defect.

B10.5 Consumers. A Consumer keeps the statutory rights from defective performance (Sections 2615 et seq. of the Civil Code, and for goods Sections 2158 et seq.).

B11 Liability

B11.1 The Supplier is liable for damage to the aircraft or component caused during the Work, including ground runs and transport performed by the Supplier. Clause B6.5 applies to test flights.

B11.2 Business customers. The rules below apply, subject to clause 10.1 (intent, gross negligence, harm to life and health).

(a) The Supplier first remedies damage to the aircraft or component by repair at its own cost.

(b) If repair is impossible or disproportionately costly, the Supplier pays the value of the item on the day of the damage.

(c) The Supplier's total liability per order is limited to the greater of the price of the order and the amount paid by the Supplier's liability insurance for the damage.

(d) Damage covered by the Customer's hull insurance is first settled from that insurance.

(e) The Supplier is not liable for lost profit, loss of use, AOG costs, a replacement aircraft or indirect damage.

B11.3 The Supplier is liable for items on board the aircraft only if it has taken them into custody in writing.

B11.4 Insurance claims. At the request of the Customer or the insurer, the Supplier assists in assessing an insurance claim. This includes access to the aircraft, a damage summary, a repair budget and consultation on restoring airworthiness. Without express authorisation, the Supplier does not act on behalf of the Customer or the owner.

B11.5 Force majeure. Clause 10.3 applies.

B12 Photographs

B12.1 The Supplier may take photographs of the Work for its records. For marketing purposes, it uses photographs only without the aircraft registration and personal data, unless the Customer agrees otherwise. The Customer may object to marketing use at any time.

B13 Consumers

B13.1 A Consumer who concludes the contract at a distance or off premises may withdraw within 14 days of its conclusion. If the Consumer expressly asked the Supplier to start the Work before the period ends, the Consumer pays a proportionate price for the Work performed up to the withdrawal. Once the Work has been fully performed with the Consumer's express consent and acknowledgement, the right of withdrawal is lost (Sections 1834 and 1837(a) of the Civil Code).

B13.2 The clauses marked "Business customers" do not apply to Consumers.

B14 Final provisions

B14.1 Czech law applies. The UN Convention on Contracts for the International Sale of Goods does not apply. Business customers: disputes are decided by the court with jurisdiction for the Supplier's registered office. For Consumers, clause 16 applies.

B14.2 If a provision is invalid, the others remain in force. In relations with business customers, the invalid provision is replaced by a valid provision closest to its purpose.
